Terms of Service

These Terms govern your access to and use of PayLoad (the “Service”). PayLoad is operated by Nugent Brothers Enterprises LTD (company number NI719078) trading as “PayLoad.” By creating an account, using the dashboard, API, or related features, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

Eligibility and accounts

  • You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. You must be 18+ (or the age of majority) to enter a binding contract and to purchase credits.
  • You are responsible for safeguarding credentials, API keys, and TOTP secrets. You must promptly notify us of suspected compromise.
  • We may refuse, suspend, or terminate accounts for risk, abuse, non-payment, or legal/compliance reasons.

Service scope

  • Features include storage (main/temp), share tokens and vanity links, invites with permissions and credit caps, email scheduling, billing via credits/Stripe, and API access.
  • Beta or experimental features may change or be withdrawn without notice.
  • We may modify the Service to improve security, performance, or compliance.

Acceptable use

  • No illegal, infringing, harmful, hateful, or abusive content; no malware or attempts to disrupt, probe, or bypass security.
  • No child sexual abuse material (CSAM), harassment, or content that violates applicable law or third-party rights.
  • No use that would impose unreasonable load, scrape without permission, or misrepresent affiliation.
  • We may remove content, throttle, suspend, or terminate to protect the Service or others.

Credits, billing, and refunds

  • Credits prepay usage (uploads, shares, email jobs, etc.). Credit pricing and tiers are shown in the dashboard.
  • Purchases are generally non-refundable. Chargebacks or disputes may result in credit reversal and account review.
  • Taxes and fees may apply. You authorize us and our payment processor (e.g., Stripe) to charge the payment method you provide.
  • Credit caps and modes (warn/stop) are your responsibility to configure. Invited users may be limited by permissions and caps you set.

Content and licenses

  • You retain ownership of your content. You grant PayLoad a limited license to store, transmit, process, and display content as needed to provide the Service (including generating thumbnails, delivering shares, emails, and backups).
  • You represent that you have all rights necessary to upload and share content and that sharing complies with law and third-party rights.
  • Vanity links are public; do not place confidential data at public URLs without controls.

Invites, roles, and API keys

  • Invites are scoped by permissions and optional credit caps. You are responsible for the actions of users you invite.
  • API keys are bearer credentials; rotate them if exposed. Keys may be revoked for abuse.

Availability and support

  • We aim for high availability but do not guarantee uninterrupted Service. Maintenance and incidents may affect access.
  • Support is provided via designated channels and may vary by plan.

Security

  • We implement administrative, technical, and physical safeguards (TLS, encryption at rest, TOTP, scoped keys, audit logs). See the Privacy Policy and DPA for details.
  • You must configure retention, permissions, and caps appropriate to your risk profile.

Third-party services

The Service integrates with third parties (e.g., Stripe for payments, email delivery providers). Your use of those services may be subject to their terms and privacy notices.

Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

Limitation of liability

To the maximum extent permitted by law, PayLoad and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, or goodwill, even if advised of the possibility. Our aggregate liability arising out of or relating to the Service is limited to the greater of (a) the amounts you paid to PayLoad in the 3 months prior to the claim or (b) USD $100.

Indemnity

You will indemnify and hold harmless PayLoad, its affiliates, and personnel from claims, damages, losses, and expenses (including legal fees) arising from your content, your use of the Service, or your violation of these Terms or applicable law.

Termination

  • You may stop using the Service at any time. You may request deletion of your account via support or NBE@nugentweb.online.
  • We may suspend or terminate for material breach, abuse, fraud risk, non-payment, or legal requirements. We will attempt notice where reasonable.
  • Upon termination, access ceases; stored content may be deleted per retention schedules. Certain obligations survive (e.g., payment, indemnity, limitations of liability).

Governing law and disputes

These Terms are governed by the laws of England and Wales, excluding conflict of laws rules. Courts of England and Wales have exclusive jurisdiction. If mandatory consumer protection laws apply, you retain any non-waivable rights.

Changes to Terms

We may update these Terms to reflect service, legal, or business changes. We will post the updated version with an effective date and, where required, provide advance notice. Continued use after changes means acceptance.
